Cardano Treasury Withdrawal Proposal
Bringing Physical Copper to Cardano
A ₳22 million Treasury proposal to build a copper-backed real-world asset reserve on Cardano.
Toto Finance proposes a new approach to Cardano Treasury funding: acquire independently verified physical copper, tokenize it through CuTT, establish a verifiable reserve on Cardano, and return the net proceeds from the eventual sale of the metal to the Cardano Treasury. The initiative combines tangible commodity exposure, Cardano tokenization infrastructure, transparent reporting and a defined 36-month lifecycle.

Why This Matters for Cardano
From Funding Ecosystem Development to Financing Real-World Assets
Cardano has built a blockchain designed for decentralized governance, programmable assets and financial infrastructure. The next opportunity is to connect that infrastructure with the physical economy.
Copper powers electricity grids, data centers, industrial production, transportation and global electrification. Yet ownership and financing of physical commodities still depend heavily on traditional financial and logistical intermediaries. Tokenization can connect verified physical assets with transparent, programmable blockchain infrastructure.
The Cardano Strategic Copper Reserve proposes to demonstrate this model using COMEX Grade 1 copper cathodes, CuTT tokenization and an independently controlled reserve. It is designed to deliver three outcomes for Cardano.
1
Tangible real-world asset exposure
Treasury funding would acquire identifiable, independently verified physical copper rather than being spent exclusively on software development or ecosystem promotion.
2
New Cardano infrastructure
The project would finance Cardano tokenization infrastructure, custody and supply-reconciliation mechanisms, reporting capabilities and potential DeFi integrations.
3
A defined return of proceeds
Unlike a conventional development grant, the initiative commits to selling the underlying physical copper and returning 100% of net physical-sale proceeds, together with unused and unearned budget funds, to the Cardano Treasury within 36 months.
This is not a guarantee of principal recovery or profit. It is a proposal to combine real-world asset development with a measurable financial return mechanism.
A different model for Treasury capital
The proposal introduces a structure in which Treasury funding supports both a physical asset allocation and ecosystem infrastructure. The intended result is not only a functioning copper-backed tokenization system, but also a documented financial lifecycle: from Treasury withdrawal to physical acquisition, independent verification, tokenization, custody, sale and Treasury return. If successfully implemented, the project could provide a practical reference model for future Cardano real-world asset initiatives.
The Case for a YES Vote
Five Reasons for DReps to Consider Supporting This Proposal
- Move Cardano further into the real economyThe proposal connects Cardano with a globally important industrial commodity. Instead of relying solely on digital-native use cases, Cardano would gain a demonstration of how physical commodity inventories can support tokenized assets, independently verified backing and blockchain-based reporting. This creates an opportunity to showcase Cardano in commodity finance, industrial markets and institutional real-world asset infrastructure.
- Fund an asset with a defined exit strategyOf the ₳22 million request, ₳14.72 million is allocated to physical copper acquisition. The copper is intended to be held for approximately 18 to 24 months, followed by an orderly liquidation process, with a mandatory final settlement by month 36. The proposal commits all realized net physical-sale proceeds and unused or unearned funding to the Cardano Treasury. The return will depend on market prices, currency movements, fees and execution. Nevertheless, the proposal establishes a specific asset, a defined lifecycle and a measurable proceeds-return obligation.
- Create infrastructure beyond a single Treasury transactionThe funded technology work includes CuTT issuance infrastructure for the Treasury reserve, a Cardano-native CuTT representation minted under a dedicated policy, independent smart-contract security reviews, physical-reserve and token-supply reconciliation, public reserve reporting and verifiable financial records, and technical interfaces supporting future Cardano ecosystem integrations. The aim is to create a practical foundation for future tokenized commodity activity on Cardano. Broader adoption and commercial integrations are not guaranteed, but the infrastructure deliverables are part of the proposal's defined project scope.
- Introduce measurable accountabilityThe initiative specifies a fixed budget, independent approval requirements, recurring reporting, and a terminal liquidation deadline. Proposed safeguards include independently verified warehouse inventory, legal collateral protections, financial and technical audits, and public reconciliation of physical copper against outstanding CuTT claims. Toto Finance's compensation, third-party operating costs and potential related-party fees are separately disclosed. DReps would be able to evaluate progress against identifiable milestones and financial outcomes rather than relying exclusively on promotional activity or user-growth estimates.
- Demonstrate a repeatable real-world asset modelThe strategic opportunity extends beyond copper. A successfully implemented reserve could demonstrate how Cardano can connect verified physical assets, tokenized ownership claims, independent assurance and public financial reporting. The resulting technical and reporting methods could inform future initiatives involving other commodities and real-world assets. This broader potential is an objective of the proposal, not a guaranteed outcome.
The decision before DReps
The question is whether Cardano should allocate ₳22 million to a time-limited initiative combining physical copper acquisition, Cardano infrastructure development, independent oversight and a mandatory return-of-proceeds mechanism.
The proposal provides a defined budget, identifiable implementation requirements, risk disclosures and a 36-month completion deadline. It also involves material copper-price, ADA exchange-rate, custody, legal, technical and execution risks. Only 66.93% of the requested funds initially acquires copper, and the original Treasury principal is not guaranteed. Under the proposal's illustrative full-budget-spend assumptions and a constant ADA/USD exchange rate, copper would need to appreciate by approximately 49.4% (from about $6.73 to about $10.06 per pound) for the Treasury to recover the full ₳22 million in ADA-equivalent value.
DReps should evaluate both the potential ecosystem benefits and these financial risks when deciding how to vote.

Introducing CuTT
One Token. One Verified Pound of Copper.
CuTT is Toto Finance's proposed fungible copper-backed token. 1 CuTT economically represents 1 avoirdupois pound (0.45359237 kg) of independently verified physical copper. The Treasury-funded reserve will consist of COMEX Grade 1 electrolytic copper cathodes meeting the applicable physical-delivery specifications, acquired and stored in a COMEX-approved warehouse in the greater New Orleans area in the United States.
Before tokens are issued, the underlying copper must be physically acquired and independently verified; identified by eligible warehouse lots and actual net weight; supported by appropriate title and warehouse documentation; covered by independently reviewed custody and insurance arrangements; and subject to the required legal and collateral protections. No CuTT may be issued against the Treasury-funded reserve until the corresponding physical copper has been verified.
The legal rights associated with CuTT will be governed by the applicable token, custody and warehouse documentation. The token alone does not automatically convey legal title to physical copper.
How CuTT Works
From Physical Copper to a Cardano Native Asset
One verified pound of copper, one CuTT on Cardano, and a reconciliation discipline designed to prevent double counting.
- Physical copper verificationEligible COMEX Grade 1 copper is acquired, independently verified and allocated to the reserve in a COMEX-approved warehouse in the greater New Orleans area.
- Title and warehouse documentationEach lot is identified by eligible warehouse receipt and actual net weight, with the legal, collateral, custody and insurance arrangements in place before any token is issued.
- CuTT issued one to oneOne CuTT is issued for each verified eligible pound of physical copper. No CuTT may be issued against the Treasury-funded reserve before the corresponding copper has been verified.
- Cardano native assetThe Treasury-financed tranche is represented as a Cardano native asset minted under a dedicated policy. It is the only active, spendable token form of the reserve.
- Reserve custody on CardanoThe Cardano CuTT balance is held under the program's reserve custody and independent control requirements. It cannot be lent, rehypothecated or pledged to unrelated creditors during the holding period.
- Transparent supply reconciliationVerified copper weight and the Cardano CuTT supply are reconciled every month and attested quarterly, so that every token corresponds to exactly one pound of metal.
Additional CuTT may be issued on other networks only against separate, independently verified physical copper, and the Treasury-funded copper is never counted twice. The minting policy, custody controls and independent security reviews are proposed implementation deliverables, not systems represented as already deployed.

A ₳22 Million Treasury Allocation
Transparent Budget. Defined Responsibilities.
The proposed Treasury Withdrawal is allocated across five separate categories.
| Allocation | ADA | Share |
|---|---|---|
| Physical copper acquisition | ₳14,724,409 | 66.93% |
| CuTT technology development and project management | ₳2,640,000 | 12.00% |
| Warehouse, insurance, audits, security and operations | ₳3,533,859 | 16.06% |
| Copper execution and conversion | ₳441,732 | 2.01% |
| Independent administration and oversight | ₳660,000 | 3.00% |
| Total Treasury request | ₳22,000,000 | 100.00% |
Budget principles
- Physical copper acquisition. Approximately 66.93% of the requested funds is allocated to acquiring eligible copper cathodes.
- Technology and project management. Toto Finance's 12% allocation is payable against independently accepted milestones covering technical development, cross-chain infrastructure, reporting integration and project delivery.
- Operating and assurance costs. The separate operating budget is capped at the equivalent of 8% annually of the copper acquisition principal for up to three years. It includes warehouse services, insurance, audits, legal and collateral work, technical security reviews and related approved costs.
- Execution compensation. A one-time execution fee of approximately 3% of the copper acquisition allocation is payable to Toto Finance against accepted procurement and title documentation.
- Independent oversight. A 3% allocation is reserved for a suitably independent professional administrator or oversight provider, subject to future engagement.
Toto Finance may also receive a disclosed administration margin of up to 30% on eligible third-party warehouse and insurance invoices, strictly within the existing operating budget, not as an additional withdrawal. All fees are subject to the proposal's approval, documentation, conflict-of-interest and reporting requirements. Unused or unearned budget balances must be returned to the Cardano Treasury.
Independent Oversight and Reserve Protection
Designed for Verification, Not Trust Alone
The proposal requires a framework of independent oversight, custody verification and documented financial controls. Toto Finance Inc. will serve as the named Treasury Withdrawal recipient and accountable project administrator. A qualified independent professional oversight provider will be appointed as part of implementation. A U.S. PwC member firm is identified in the proposal as a preferred potential provider, subject to acceptance, engagement and independence requirements. No PwC engagement or endorsement is currently claimed.
Before relevant copper purchases and token deployment, the project must establish the required legal, collateral, warehouse, insurance and security arrangements. The intended safeguards include:
- Independent confirmation of copper inventory and eligible weight
- Documented warehouse custody and release restrictions
- Treasury-benefit security arrangements over identified assets and proceeds
- Independent authorization of material disbursements and reserve actions
- Independent smart-contract security reviews
- Monthly reserve and token-supply reconciliation
- Quarterly independent physical and financial attestations
- Annual independent financial, title and custody assurance
The Treasury-financed copper cannot be lent, rehypothecated or pledged to unrelated creditors during the holding period. Any use of Treasury-backed CuTT in risk-bearing DeFi applications requires separately authorized protections. Commercial DeFi opportunities using independently financed CuTT are distinct from the protected Treasury reserve.
Transparent reporting on Cardano: from warehouse inventory to on-chain evidence
Physical assets
Verified copper weight, eligible warehouse lots, inventory attestations, insurance status and relevant collateral confirmations.
Token supply
Cardano CuTT supply, verified copper backing per token and the consolidated monthly reconciliation.
Financial activity
Approved Treasury expenditures, copper purchase costs, warehouse and insurance invoices, technology milestones and disclosed related-party compensation.
Treasury returns
Physical sale receipts, net proceeds, ADA conversion records and on-chain Treasury donation references.
Proposed Reeve integration. Toto Finance proposes to evaluate Reeve, the Cardano Foundation's financial reporting technology, for selected auditable project disclosures, connecting reserve accounting, project expenditure records and Treasury return information with verifiable blockchain reporting. Reeve integration remains subject to technical feasibility, necessary permissions and implementation arrangements. It is not a confirmed Cardano Foundation partnership. If Reeve cannot be implemented, equivalent verifiable reporting remains a project obligation.
A Defined 36-Month Lifecycle
From Physical Acquisition to Treasury Return
- Months 0 to 2: Establishment and acquisitionComplete the required independent legal, custody, title, security and procurement controls. Acquire eligible copper and establish the initial verified reserve.
- Months 1 to 18: Reserve holding and reportingMaintain the protected physical copper position. Complete the relevant tokenization and bridge milestones and publish recurring reserve, financial and technical reports.
- Months 18 to 24: Evaluate controlled liquidationAn independently governed sale process may begin in response to documented market and risk considerations.
- Months 24 to 36: Orderly physical liquidationExecute a controlled sale of the remaining copper inventory, retire the corresponding CuTT liabilities and document the resulting proceeds.
- Month 36: Final settlementComplete all physical copper disposals, reconcile the associated token supply, return net physical-sale proceeds and unused or unearned funds to the Cardano Treasury, and publish a final audited program report.
The maximum program duration is 36 months. The proposal does not authorize an indefinite holding period.
Returning capital to the Cardano Treasury
A central feature of this initiative is the commitment to return 100% of realized net physical copper-sale proceeds, together with unused and unearned program funds, to the Cardano Treasury, through auditable Cardano Treasury donation transactions or another documented, permitted Treasury-credit mechanism. This creates a measurable financial outcome alongside the proposed infrastructure and ecosystem benefits.
It does not guarantee recovery of the original ₳22 million. Only approximately 66.93% of the withdrawal is initially allocated to copper acquisition. The remainder funds disclosed development, operations, execution and independent oversight. The eventual Treasury recovery will depend on copper sale prices, authorized costs, market liquidity, ADA/USD exchange-rate movements and other execution risks. Under the proposal's illustrative full-budget-spend assumptions and constant ADA/USD exchange rate, the underlying copper would need to appreciate by approximately 49.4% for the Treasury to recover the full original ₳22 million in ADA-equivalent value.
The project therefore combines potential economic recovery with a separate objective: building and demonstrating Cardano real-world asset infrastructure. No fixed interest, yield, principal protection or guaranteed profit is offered.
DRep FAQ
Questions DReps Are Asking
Twenty-four questions in four groups. Open a group to read the answers; every answer is also in the page source for search engines.
Treasury strategy and economic value
Why should the Cardano Treasury fund copper rather than another software project?
This proposal combines physical commodity exposure with blockchain infrastructure development. Approximately 66.93% of the requested funds is allocated to copper acquisition. The remaining funding covers technical development, custody, insurance, assurance, execution and administration. The project also commits to returning all realized net physical-sale proceeds and unused or unearned funds to the Treasury. DReps should assess whether this combination of tangible assets, infrastructure delivery and potential proceeds recovery justifies the cost and risk relative to other Treasury opportunities.
Is this a grant, an investment or a loan?
The governance action is legally an on-chain Treasury Withdrawal. Economically, the proposal is structured as a time-limited physical commodity reserve program with an obligation to return realized net sale proceeds. It is not a conventional fixed-interest loan. There is no guaranteed principal repayment, interest rate or profit distribution.
Will the Treasury receive its original ₳22 million back?
Not necessarily. The project commits to returning 100% of net physical copper-sale proceeds and unused or unearned funds, but the amount recovered depends on copper prices, ADA/USD movements, authorized costs and actual execution. The proposal expressly acknowledges that the Treasury could recover less than the original ₳22 million.
Why not simply buy and hold ADA?
Holding ADA provides direct exposure to Cardano's native asset without copper custody, tokenization, warehousing or commodity-market execution. This proposal instead seeks physical commodity exposure and the development of Cardano real-world asset infrastructure. The two approaches involve different risks, costs and potential benefits. The CuTT proposal is not presented as a guaranteed financial improvement over holding ADA.
What happens if copper prices decline?
The reserve may lose value. The project has a mandatory liquidation deadline and cannot hold the copper indefinitely while waiting for prices to recover. Independent sale procedures, reserve reporting and documented risk controls are intended to govern liquidation, but they cannot eliminate market losses.
How much must copper appreciate for the Treasury to recover its original funding?
Under the proposal's illustrative assumptions (full expenditure of authorized budget caps, an acquisition reference of approximately $6.73 per pound, constant ADA/USD and no additional physical-sale basis costs), copper would need to appreciate by approximately 49.4% to recover ₳22 million in ADA-equivalent value. That corresponds to approximately $10.06 per pound. This is a sensitivity calculation, not a copper-price forecast or promised return.
Why is only 66.93% allocated to buying copper?
The other 33.07% funds disclosed project expenses over the maximum 36-month program. These include technology development and project management, warehouse and insurance costs, independent assurance, legal and technical security work, copper execution, and independent administration. The full budget and related-party compensation are disclosed in the official proposal.
How does Cardano benefit if copper prices do not increase?
The project still aims to deliver technical infrastructure, reserve-reporting capabilities, independently documented physical asset verification and a Cardano-based CuTT representation. Those deliverables may have ecosystem value independently of copper-price performance. However, their completion and adoption are not guaranteed, and they do not eliminate the financial impact of a loss on the physical reserve.
Copper ownership and security
Who legally owns the copper?
Toto Finance Inc. is intended to acquire and hold legal title to the identified copper lots. Before acquisition, the project must establish documented security interests and independent collateral controls designed to protect the Treasury's economic interest in the metal and its sale proceeds. The Cardano Treasury is not represented as directly holding legal title to individual warehouse lots.
How can DReps verify that the copper exists?
The project requires independent physical inventory verification, eligible warehouse documentation, actual-weight reconciliation and recurring third-party assurance. Public reporting is intended to connect verified physical copper pounds with the Cardano CuTT supply. Independent confirmations are planned at inception and quarterly, alongside annual assurance and monthly reconciliation.
What prevents the copper from being sold, pledged or used elsewhere?
The proposed controls include documented collateral security, warehouse release restrictions, independent approval requirements and regular verification. The Treasury-financed metal may not be lent, rehypothecated or pledged to unrelated creditors during the reserve holding period. These protections must be established through enforceable legal agreements before the relevant copper purchase and tokenization activities.
What happens if Toto Finance becomes insolvent?
The proposal requires independent legal and collateral arrangements intended to provide enforceable recovery rights over identified copper, warehouse documentation, insurance recoveries and sale proceeds. However, insolvency proceedings, statutory liens and creditor-priority rules can delay or reduce recoveries. The proposal does not claim that physical copper automatically transfers to the Treasury or that insolvency losses are impossible.
Technology and Cardano integration
How is CuTT issued on Cardano?
The Treasury-financed CuTT is represented as a Cardano native asset, minted under a dedicated policy one to one against independently verified physical copper. That Cardano representation is the only active, spendable token form of the Treasury-financed tranche and is held under the program's reserve custody and independent control requirements. The full issuance architecture is set out in the proposal.
Could the same copper be tokenized more than once?
No. The architecture is designed to prevent double counting: the Treasury-funded reserve has exactly one active token representation, on Cardano, and verified copper weight is reconciled against that supply every month. Any additional CuTT that Toto Finance issues on other networks must be backed by separate, independently verified copper. Independent technical reviews and supply reconciliation are required to validate this structure.
Can the Treasury-funded CuTT be used in DeFi?
The protected Treasury reserve cannot be unilaterally exposed to lending, rehypothecation or other loss-bearing DeFi strategies. Broader CuTT DeFi applications may be developed using independently financed and separately backed copper. Any risk-bearing use of Treasury-reserve collateral would require additional authorized protections.
Will Cardano receive a new native asset?
Yes. The proposed implementation includes a Cardano-native CuTT asset minted under a dedicated policy, with the reserve balance reconciled against the verified physical copper. The asset and its issuance infrastructure are future technical deliverables, not already deployed Treasury infrastructure.
Is the tokenization infrastructure already built and audited?
The proposal does not claim that the Treasury-specific issuance infrastructure, the Cardano minting policy or the independent security audit is complete. These are funded implementation milestones with security and control requirements that must be satisfied before production deployment.
Governance, accountability and execution
Who receives the ₳22 million?
Toto Finance Inc., a U.S. corporation, is the designated on-chain Treasury Withdrawal recipient and accountable project administrator. The declared receiving reward address is stake1uxmfznssgltfuakxlluxdecmu9wwd48kw0pz0qhugaxyjyguc0tax. Toto Finance reports receiving ₳0 from the Cardano Treasury in the preceding 24 months.
Who independently oversees the project?
The proposal reserves up to ₳660,000 for a qualified independent professional oversight provider. A U.S. PwC member firm is a preferred prospective provider, but no engagement or endorsement is claimed. Another qualified independent provider may be appointed subject to the proposal's requirements. Independent custody, legal, audit and technical control arrangements must be established before the relevant activities proceed.
What is Toto Finance paid?
The proposed compensation includes ₳2,640,000 for technical development and project management, payable against independently accepted milestones; up to ₳441,732 for completed copper procurement and execution; and a disclosed margin of up to 30% on eligible third-party warehouse and insurance invoices, entirely within the existing operating budget. The proposal prohibits duplicate billing across categories and requires independent approval of relevant expenses.
How will DReps monitor performance?
The project commits to publishing recurring reports covering physical copper holdings, token backing, Treasury expenditures, technical milestones, reserve assurance and realized sale proceeds. Monthly reserve and token-supply reconciliation, quarterly independent attestations and annual audits are specified. Reeve is proposed as a possible reporting technology, subject to implementation feasibility. Equivalent verifiable reporting remains required if Reeve is unavailable.
What happens if critical implementation conditions cannot be met?
The proposal requires affected spending to stop if essential legal, custody, assurance, regulatory or technical controls cannot be implemented. Unused or unearned funds are subject to the documented Treasury return policy. If eligible physical copper cannot be procured within the prescribed initial period, uncommitted funds must be returned according to the proposal's conditions.
What happens at the end of 36 months?
The physical copper must be sold, corresponding CuTT liabilities retired, and realized net sale proceeds returned to the Cardano Treasury. Unused and unearned budget balances must also be returned. A final independent audit and reconciled program report are required.
How can DReps evaluate the proposal before voting?
DReps can review the complete proposal, CIP-108 metadata, detailed budget, physical custody framework, technical architecture, legal conditions, risk disclosures and reporting commitments. This page provides a summary, while the official PDF and on-chain governance metadata provide the detailed basis for review. Once the governance action is submitted, this page will link directly to its official GovTool record.

Real Assets. Transparent Governance. Measurable Outcomes.
The Cardano Strategic Copper Reserve proposes to connect a real industrial commodity with Cardano's programmable financial infrastructure: verified physical copper, accountable Treasury funding, cross-chain infrastructure, independent assurance and a defined path to returning realized proceeds. It also carries substantial financial, technical, legal and execution risks that DReps must evaluate.
From physical copper to programmable ownership. From warehouse records to verifiable blockchain reporting. From Treasury funding to measurable outcomes.
Legal and risk disclosure
This page summarizes a proposed Cardano Treasury Withdrawal governance action. It does not constitute an offer to sell securities, tokens, commodity interests or investment products, or a solicitation to purchase any such products. The initiative is subject to governance approval, applicable legal and regulatory requirements, independent service-provider appointments, warehouse and collateral arrangements, technical development and security reviews.
No copper acquisition, token issuance, independent oversight engagement, Cardano Foundation partnership or governance approval should be inferred solely from publication of this proposal. Physical copper prices, currency exchange rates, liquidity, custody, legal enforcement, technical systems and operational execution involve material risks. There is no guarantee of original Treasury principal recovery, profit, yield, adoption or successful implementation.
Technical note: as detailed in the full proposal, CuTT is issued canonically on Ethereum and locked in a dedicated escrow before its one-to-one Cardano representation is minted; the Cardano representation is the only active token form of the Treasury-financed tranche. The full governance proposal and its associated CIP-108 metadata govern the intended commitments and disclosures. In the event of a discrepancy, refer to the official governance documents.
